Resolutions of extraordinary general meeting of shareholders
The extraordinary general meeting of shareholders of APB Apranga
held on July 11, 2006, has decided:
On first agenda item on conditions of Apranga APB reorganization by
merging with two subsidiary companies:
1. To approve preparation of conditions of reorganization, providing
Apranga APB (registry code 1219 33274, headquarters located at
Kirtimu 51, Vilnius), which will continue its activities after
reorganization, will acquire Tokata UAB (registry code 1214 99365,
headquarters located at Gostauto 5, Vilnius) and Sesupe – Ontario UAB
(registry code 1103 47776, headquarters located at Gedimino 22,
Vilnius), both reorganized to joint-stock companies, and both ending
their activities after reorganization.
2. To entrust board of Apranga APB to prepare conditions of
reorganization and corresponding changes to Apranga APB statutes.
3. To authorize Rimantas Perveneckas, general manager of Apranga APB:
a) To announce about prepared conditions of reorganization in daily
newspaper Lietuvos Rytas as required by Law on Companies of Republic
of Lithuania,
b) On the day of public announcement of prepared conditions of
reorganization to provide them to the Registry of Legal Entities, and
to prepare and send announcements to company‘s creditors, as required
by Law on Companies of Republic of Lithuania,
c) To sign all documents related to this reorganization and to take
other actions related to implementation of this resolution.
On second agenda item on audit firm election and setting of conditions
for auditor remuneration:
1. To elect PricewaterhouseCoopers UAB as audit firm of Apranga APB
for 2006;
2. To settle payment for auditors services LTL 75000 (EUR 21722) plus
VAT for 2006;
3. To authorize general manager of Apranga APB to conclude the audit
services agreement with audit firm.
